Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Meitech Finance software platform ("Platform"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Definitions

In these Terms:

• "Platform" refers to the Meitech Finance software and related services
• "Customer" refers to the financial institution using our Platform
• "End User" refers to your customers who use services through our Platform
• "Content" refers to data, information, and materials uploaded to the Platform

2. Account Registration

To use our Platform, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be a legally registered financial institution
• Comply with all applicable laws and regulations
• Immediately notify us of any unauthorized use of your account

3. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Platform for your internal business operations
• Allow your employees and authorized users to access the Platform
• Process financial transactions for your customers

This license does not include the right to resell, sublicense, or modify the Platform.

4. Customer Responsibilities

You are responsible for:

• All activities that occur under your account
• Compliance with all applicable financial regulations
• Obtaining necessary consents from your customers
• Maintaining appropriate data backup procedures
• Ensuring the accuracy of information uploaded to the Platform
• Payment of all applicable fees

5. Fees and Payment

Our fees are as published on our pricing page. You agree to:

• Pay all applicable fees on time
• Provide accurate billing information
• Authorize us to charge your chosen payment method
• Pay any applicable taxes

Late payments may result in suspension of service.

6. Data Ownership and Privacy

Your Data: You retain all rights to the data you upload to the Platform. We only process this data to provide our services.

Platform Data: We retain ownership of the Platform, software, and aggregated, anonymized usage data.

Our Privacy Policy governs how we handle personal information.

7. Acceptable Use

You agree not to:

• Use the Platform for illegal activities
• Attempt to gain unauthorized access to the Platform
• Interfere with the proper working of the Platform
• Use the Platform to transmit viruses or malicious code
• Reverse engineer or decompile the Platform
• Use the Platform to harass, abuse, or harm others

8. Service Level Agreement

We commit to maintaining the following service levels:

• Uptime: 99.5% availability for Professional plans, 99.9% for Enterprise
• Support: Email response within 24 hours for Basic, 12 hours for Professional, 4 hours for Enterprise
• Backup: Daily backups with 30-day retention
• Security: Regular security updates and monitoring

9. Termination

Either party may terminate this agreement:

• For material breach with 30 days' notice to cure
• Immediately for violation of acceptable use policies
• Upon 30 days' written notice for convenience

Upon termination, we will provide you with an export of your data upon request.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid in the 12 months preceding the claim
• We are not liable for data loss, business interruption, or financial losses

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

12. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Platform. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Ghana. Any disputes shall be resolved in the courts of Accra, Ghana.

14. Entire Agreement

These Terms constitute the entire agreement between you and Meitech Finance regarding the Platform and supersede all prior agreements.
